QuantPilot Terms of Use

QuantPilot is made available to you by Quantpilot OÜ, a limited liability company established under the laws of Estonia, registered office at Laeva tn 2, 10111 Tallinn, Estonia, registration number 16238525 ("We", "Us" or "Our").

1. Service Overview and Key Definitions

"Customer" or "You" or "User" means an individual or entity to whom we license QuantPilot without the right to sub-license.

"Plan" means a subscription plan for the use of quantpilot.com with specific features and functionalities as described on quantpilot.com.

"Fee" means the amount paid for the Subscription Plan on quantpilot.com.

QuantPilot is an AI-assisted crypto research and trading-strategy development service software, provided in English language only. It provides a chat-based interface via quantpilot.com, where users can (i) research markets and generate technical indicators and trading strategies, (ii) backtest and iterate on those strategies, and (iii) export strategy logic as code (including QuantScript) for use with 3Commas-hosted execution and related strategy tooling ("3Commas").

"3Commas" means a non-custodial Software as a Service (SaaS) provider that provides crypto bot trading software, including tools and functionalities for managing personal cryptocurrency holdings, accessible through 3commas.io

"QuantPilot Account" or "Account" means the personal user account used to access and use the Service, authenticated through QuantPilot's supported login systems (including Auth0), and associated with your profile and identifiers (such as user ID, email address, linked wallet address, and configured integration/API credentials, as applicable). Your Account is personal to you, and you are responsible for maintaining its security and for all activities conducted through it.

"Service" means QuantPilot's web-based platform and related software functionality made available through the web app and supporting APIs, including tools to (a) conduct crypto market research, (b) interact with AI agents, (c) create, validate, store, and manage versions of trading strategies, (d) manage chats/projects and third-party data integrations (including MCP and API-key-based integrations), and (e) where available, connect supported wallets/exchange interfaces to view market/account data and submit trading-related instructions. The Service includes related backend infrastructure, communication channels (including real-time features), and associated updates provided by QuantPilot.

"Terms" mean these QuantPilot Terms of Use.

"Free Plan" means a user on the Free Plan of QuantPilot

"Plan Upgrade" means a switch initiated by the User from their existing billing plan to a more expensive billing plan.

"Plan Downgrade" means a switch initiated by the User from their existing billing plan to a less expensive billing plan.

"Paid Plan" means all billing plans that require a monthly subscription on quantpilot.com.

"Stripe" means the third-party payment processor and billing environment used by us to process payments, manage subscriptions, and provide billing-related functionality.

"Billing Portal" or "Control Center" means the Stripe-hosted billing or customer portal made available to Users through a link in quantpilot.com settings.

"Subscription Plan" means a recurring paid or free access tier for the Platform, including the Free Plan, Bronze Plan, Silver Plan, and Gold Plan.

"Billing Period" means the recurring subscription term applicable to a Subscription Plan. This term is monthly unless a different duration is explicitly specified at checkout.

"QuantPilot Tokens" or "Tokens" means usage credits or consumption units that may be issued, allocated, purchased, consumed, reset, expired, or rolled over in accordance with the applicable plan or purchase terms.

"Free Tokens" means QuantPilot Tokens issued without separate payment under the Free Plan or similar promotional or plan-based allocation.

"Paid Tokens" means QuantPilot Tokens obtained through a paid Subscription Plan or a paid one-time Tokens purchase.

"Token Top-Up" means a one-time purchase of additional Paid Tokens outside of a recurring Subscription Plan.

"VIP Package" means a one-time purchase product that grants the purchaser "VIP" status and the benefits described at the time of purchase.

"Backtest" means a strategy backtesting action, run, or usage event within QuantPilot, as defined operationally by the product.

"Plan Benefits" means the features, Token allowances, access rights, limits, entitlements, and other benefits associated with a given Subscription Plan or one-time purchase.

2. Acceptance

These Terms, together with related specification documents (which regulate the use of QuantPilot) and Privacy Notice available at Privacy Notice constitute a binding agreement between you and us, and shall become effective upon your acceptance by clicking to agree.

THESE TERMS OF USE CONTAIN VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS AND LIMITATIONS, PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING QUANTPILOT. BY ACCEPTING THESE TERMS YOU ACCEPT THE PROVISIONS OF AND ACKNOWLEDGE BEING BOUND BY THESE TERMS.

3. Eligibility Criteria and QuantPilot Account

3.1 Eligibility criteria.

To access the service, you must meet the following criteria, and represent and warrant that:

3.1.1 you have the full power, authority and capacity to access the service and enter into and comply with these Terms of Use,

3.1.2 if you are a natural person, you are at least 18 years of age,

3.1.3 you are not suspended from accessing the service, or otherwise not prohibited from having a QuantPilot Account,

3.1.4 you use the service only for yourself and not on behalf of any third party, including you do not manage third-party's cryptocurrency holdings in any way,

3.1.5 you do not engage in any illegal activity and do not use funds or resources deriving from illegal activity or related to money laundering or any other criminal activity,

3.1.6 you meet the conditions set out in Section 10.1.

3.1.7 your access to the service does not breach any applicable law or regulation in the jurisdiction where you are residing. If such use is not permitted by applicable laws, you shall not access the service.

3.2 Creating a QuantPilot Account.

To access the service you must create a QuantPilot Account. You can do this by visiting the signup page.

3.2.1 You are required to provide truthful, up-to-date, valid, and complete information in the QuantPilot Account sign-up process. When requested by us, you must provide the respective supporting documentation. In case of any changes, you must update your QuantPilot Account information promptly. You may update or change your QuantPilot Account settings at any time.

3.2.2 By creating a QuantPilot Account you confirm that you access the service at your own discretion, and you are fully responsible for all activity that occurs under your QuantPilot Account.

3.2.3 The QuantPilot Account is provided to you free of charge. We have the right to refuse to provide you with a QuantPilot Account at its sole discretion without a reason, in which case you shall not use the service.

4. Fees

4.1 Users on the Free Plan may use the product without providing payment card details.

4.2 Paid Plans are billed monthly and may be offered in USD or EUR.

4.3 Plan Upgrades take effect immediately.

4.3.3 When a user upgrades their plan, they will pay only for the difference in price for the remainder of month calculated on the daily basis

4.3.4 When a user upgrades their plan, their Token balance will be topped up based on the difference in Tokens issued between the old plan and the new plan, scaled based on the days remaining in the billing period.

4.4 Plan Downgrades take effect at the end of the current billing period.

4.4.1 When a user downgrades, they will keep their Tokens acquired at the start of the billing cycle.

4.5 Unused Free Tokens do not roll over to the next billing period.

4.6 Paid Token top-ups do not expire and roll over until used.

4.7 Free Token top-ups expire daily.

4.8 We may change the daily availability of Free Tokens and weekly spend limit of Free Tokens at any moment without prior notice.

4.9 Users on paid monthly subscriptions do not receive Free Tokens from the Free Plan.

4.10 Tokens for non-Free Plan Users are given to Users at the start of each new billing period, dependent on successful recurring payment.

4.11 Token top-ups, VIP packages, and other special one-time purchases are non-refundable.

4.12 If a recurring payment fails, a 3-day grace period applies for plan-related access, but no new monthly Paid Tokens are issued until payment is successful.

4.13 One-time purchases, including VIP access, may have prices, benefits, and conditions changed at any time under the discretion of ours.

5. Billing, Tokens, and Paid Features

5.1 Billing Management and Payment Processing:

5.1.1. We use Stripe as the payment processor and billing environment for QuantPilot.

5.1.2. Users may access billing management functionality through a link in the Platform settings that directs the User to a Stripe-hosted Billing Portal or Control Center.

5.1.3. Billing settings, invoices, and similar billing management functionality may be hosted in Stripe rather than directly within http://quantpilot.com.

5.1.4. We may nevertheless permit Users to initiate checkout flows from http://quantpilot.com.

5.1.5. We may support one-time purchases, recurring subscriptions, or both, as displayed to the User at checkout.

6. Subscription Plans

6.1 We offer different types of Plans with specific features and functionalities, which are provided free of charge or for a Fee in either euro (EUR) or United States of America dollar (USD) currencies, as made available at the checkout on quantpilot.com. You can subscribe to different Plans. A full detailed list of Plans and pricing is available on quantpilot.com. Please note that not all Plans may be offered in all regions.

6.2 We reserve the right to change the Plans published on quantpilot.com (e.g., add or remove Plans) at any given moment. When removing a Plan, we shall endeavour to give notice to those who might be affected by such actions and, in the event of adverse effects by the changes, when possible, propose alternative measures. Any changes to the pricing will not affect the Client's current subscription period and will become effective upon subscription renewal.

7. Plan Upgrades and Downgrades

7.1 Plan Upgrades

7.1.1. Plan Upgrades take effect immediately.

7.1.2. If a User upgrades during an active Billing Period, we may charge a prorated amount for the remainder of that Billing Period. QuantPilot Tokens for the remainder of that Billing Period, based on the difference between the existing plan and the upgraded plan.

7.2 Plan Downgrades

7.2.1. Plan Downgrades do not take effect immediately.

7.2.2. If a User downgrades, the User retains the benefits of the higher-tier plan until the end of the then-current Billing Period.

7.2.3. The downgraded plan takes effect upon the start of the next Billing Period unless otherwise disclosed.

8. Failed Payments and Grace Period

8.1. If a recurring subscription payment fails, we may provide a grace period of up to seven days.

8.2. During the grace period, the User may retain access to Plan Benefits excluding Tokens.

8.3. No new monthly Paid Tokens are given unless the renewal payment is successfully processed.

8.4. If payment is not successfully completed within the grace period, we may suspend, downgrade, restrict, or terminate access to paid features or plan-based benefits in accordance with the Terms and applicable law.

9. Intellectual Property Rights

9.1. QuantPilot Ownership

We retain all rights, title, and interest, including all intellectual property rights, in QuantPilot. Nothing in these Terms transfers any ownership rights to the Customer.

9.2. License to Use QuantPilot

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-assignable, non-sublicensable, non-transferable, revocable license to access and use QuantPilot during the subscription term.

Violation of these Terms may result in the suspension or termination of your use of QuantPilot.

9.3 Prohibited Uses of QuantPilot

The following requirements are, among other, fundamental terms as part of the above license:

9.3.1. You may not license, sub-license, sell, re-sell, rent, lease, transfer, distribute, time-share, or otherwise make QuantPilot available for access by third parties.

9.3.2. You may not use QuantPilot in a way that could impair, harm or damage us or our affiliates or any of our Services, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors;

9.3.3. You may not use QuantPilot to disrupt, interfere with, or attempt to gain unauthorized access to services, servers, devices, or networks connected to or which can be accessed via QuantPilot;

9.3.4. You may not use QuantPilot in any manner that works around any technical limitations of QuantPilot or reverse engineer, decompile or disassemble QuantPilot;

9.3.5. You may not use QuantPilot, or any data obtained using QuantPilot, to identify, exploit or publicly disclose any potential security vulnerabilities;

9.3.6. You may not use QuantPilot or allow any user to use QuantPilot in a way that violates applicable law, including:

• Illegal activities, such as child pornography, gambling, piracy, violating copyright, binary options, trademark or other intellectual property laws;
• Intending to exploit minors in any way;
• Threatening, stalking, defaming, defrauding, degrading, victimizing or intimidating anyone for any reason;
• Violating applicable privacy laws and regulations.

9.4. Data Usage Granted by the Customer

For all contents and data, that you insert or make available via QuantPilot, you grant us free of charge a transferable, sublicensable, non-exclusive, irrevocable, worldwide right of use and exploitation and for the maximum term permitted under applicable law and which is unlimited in terms of content, to use this content and data for any purpose including but not limited to the purposes of:

• providing QuantPilot;
• conducting research, develop new products and services;
• predictive analytics and insights;
• improvement and further development of QuantPilot and other products; and
• other, including commercial use ("Right of Use and Exploitation");

The Right of Use and Exploitation covers in particular, but not exclusively, the right to amend, edit and translate, as well as to store, reproduce, disseminate, make accessible to the public, send, disclose publicly and non-publicly and otherwise make available the user content, including, without limitation, all trading strategies and related strategy logic that you create, the names of such strategies and any settings that you create for such strategies. You shall indemnify against all claims brought by third parties against us in connection with the exercise of the Right of Use and Exploitation.

10. SANCTIONS COMPLIANCE

10.1. CUSTOMER OBLIGATIONS

IF AND WHEN APPLICABLE, THE FOLLOWING OBLIGATIONS APPLY:

THE CUSTOMER IS SOLELY RESPONSIBLE FOR OBTAINING AND MAINTAINING ANY REQUIRED LICENSES, REGISTRATIONS, AUTHORIZATIONS, OR REGULATORY APPROVALS APPLICABLE TO ITS ACTIVITIES. WE DISCLAIM ANY RESPONSIBILITY FOR VERIFYING OR ENSURING SUCH COMPLIANCE.

THE CUSTOMER IS SOLELY RESPONSIBLE FOR CONDUCTING ALL NECESSARY DUE DILIGENCE, INCLUDING KNOW YOUR CUSTOMER (KYC) AND ANTI-MONEY LAUNDERING (AML) CHECKS ON THEIR END-USERS, AND FOR COMPLYING WITH ALL APPLICABLE LAWS AND REGULATIONS IN ALL RELEVANT JURISDICTIONS. THIS INCLUDES, BUT IS NOT LIMITED TO, VERIFYING THE IDENTITY AND THE SOURCE OF FUNDS OF THE END-USERS OF THE CUSTOMER. WE SHALL HAVE NO RESPONSIBILITY FOR ENSURING SUCH COMPLIANCE, AND DISCLAIMS ANY AND ALL LIABILITY IN THIS REGARD.

WE NEITHER PROCESS NOR FACILITATE ANY PAYMENTS BETWEEN THE CUSTOMER AND THEIR END-USERS, AND DISCLAIMS ANY RESPONSIBILITY THEREFOR, INCLUDING A RESPONSIBILITY FOR A PROFIT SHARE BETWEEN THE CUSTOMER AND THEIR END-USERS.

10.2. By accessing and using QuantPilot, you represent and warrant that you have not been included in any trade embargoes or economic sanctions list, including but not limited to:

1. Restrictive measures of the European Union;
2. Sanctions of the United Nations;
3. Sanctions of the British Virgin Islands;
4. The list of specially designated nationals maintained by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury;
5. The denied personas or entity list of the U.S. Department of Commerce;
6. Lists of subjects to Financial Sanctions maintained by the UK Office of Financial Sanctions Implementation (OFSI).

10.3. We reserve the right to choose markets and jurisdictions to conduct business, and may restrict or refuse, in our sole discretion, the provision of services in certain countries or regions, including those not mentioned herein.

10.4. If you become subject to international sanctions, you are obliged to immediately stop using our services and notify us.

10.5. Without prejudice to other grounds for such actions available to us, we have the right to terminate, suspend, or restrict the provision of our services to you as well as to terminate this Agreement in case:

1. you become a subject of international sanctions,
2. providing services to you is considered a violation or circumvention of international sanctions,
3. you are according to our assessment related to a territory, area of activity, transaction or person subject to international sanctions, or
4. we apply our right referred to in Section 5.2.

11. Term and termination

11.1. These Terms of Use, as they may be updated from time to time (according to Clause 12 of these Terms of Use), shall apply to and remain in full force and effect for any access or use of the service.

11.2. You may delete your QuantPilot Account at any time.

11.3. In case You breach of these terms we may at any time suspend or immediately terminate your QuantPilot Account, any rights granted herein, and/or your license to QuantPilot, in our sole discretion. In case of breach of any of the requirements set out in these Terms or related specification documents, we reserve the right, at our sole discretion, to immediately and without prior warning or notice suspend your use of QuantPilot and suspend the availability of your account.

12. Confidentiality

The Customer acknowledges that we have disclosed, or may in the future disclose, certain business, technical, or financial information relating to our operations ("Confidential Information"). Confidential Information includes, without limitation, non-public information concerning the features, functionality, and performance of QuantPilot, as well as our proprietary content. The Customer agrees: (i) to take all reasonable measures to protect the confidentiality of such information, and (ii) not to use or disclose any Confidential Information to any third party except as necessary for the performance of the service or as expressly permitted under these Terms.

13. DISCLAIMERS

13.1. NO WARRANTY

QuantPilot is provided "as is," "with all faults," and "as available," without any express or implied warranties, including merchantability, fitness for a particular purpose, accuracy, completeness, satisfactory quality, or non-infringement. Your use of QuantPilot is at your own risk. We do not guarantee uninterrupted or error-free operation, immunity from viruses or harmful components, or protection against data loss. Service may be interrupted for maintenance, updates, or system failures, and we disclaim all liability for resulting damages.

13.2. NO PORTFOLIO MANAGEMENT OR ADVISORY SERVICES

We do not provide you with the services in relation to portfolio creation, management, or advisory services, including but not limited to creating or constructing an investment portfolio; overseeing or managing any investment portfolio on a prescribed or needed time basis; making changes or adjustments to an investment portfolio; providing personalized financial, investment, tax, legal or any other professional advice, recommendations, or strategies.

13.3. NO FIDUCIARY DUTY OR PROFESSIONAL ADVICE

We are not a broker, fiduciary, or financial or investment advisor. Any information, tools, or data provided by the service are intended for informational purposes only and should not be construed as professional, legal, tax, or financial advice. You are solely responsible for any decisions or actions taken using the service and should consult a qualified professional for advice tailored to your specific circumstances. Be cautious and make your own research before action.

13.4. THIRD-PARTY INFORMATION AND LINKS

Our Software, Website, and Product may contain information from third parties or links to third-party content. This information and these links are provided "as is" and "as available" and are not under our control, and we are not responsible for their content. We provide them for your convenience and information only, and their inclusion does not imply our endorsement or recommendation of any third party or their products, services, or information.

We disclaim any warranty or representation, either express or implied, that such information or links are accurate or complete. We are not responsible for examining or evaluating the content or accuracy and shall not have any liability for any third-party materials or websites, or for any other materials, products, or services of third parties. We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party information or links.

14. LIMITATION OF LIABILITY

THE CUSTOMER'S USE OF QUANTPILOT IS AT THE CUSTOMER'S SOLE RISK. QUANTPILOT IS PROVIDED "AS-IS", "AS-AVAILABLE" AND WE DO NOT GUARANTEE THE ACCURACY, TIMELINESS OR COMPLETENESS OF ANY INFORMATION, INCLUDING PRICES, PRODUCT IMAGES, SPECIFICATIONS, AVAILABILITY, AND SERVICES PROVIDED BY QUANTPILOT.

WE ARE NOT LIABLE FOR ANY LOSS OR DAMAGE OF ANY KIND RESULTING FROM THE USE, INABILITY TO USE, PERFORMANCE OR NON PERFORMANCE OF QUANTPILOT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL US, OUR AFFILIATES, PARTNERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH QUANTPILOT.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS CONTRACT, THE TOTAL, CUMULATIVE LIABILITY OF OURS ARISING OUT OF OR RELATED TO QUANTPILOT OR THIS CONTRACT, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, SHALL NOT EXCEED THE AMOUNTS PAID BY THE USER TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTH PERIOD PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY.

15. INDEMNIFICATION

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU ("CUSTOMER") AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS US, OUR AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, SUPPLIERS, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, ACTIONS, PROCEEDINGS, LIABILITIES, DAMAGES, JUDGMENTS, AWARDS, LOSSES, COSTS, EXPENSES, OR FEES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO CUSTOMER'S BREACH OR MISCONDUCT – ANY BREACH OF THESE TERMS, VIOLATION OF APPLICABLE LAWS, OR MISCONDUCT BY THE CUSTOMER.

THE CUSTOMER SHALL PROMPTLY REIMBURSE US FOR ANY AND ALL LOSSES, EXPENSES, COSTS, OR DAMAGES (ACTUAL AND PROVEN) INCURRED DIRECTLY OR INDIRECTLY IN CONNECTION WITH SUCH CLAIMS.

IN THE EVENT EITHER PARTY RECEIVES NOTICE OF A THIRD-PARTY CLAIM IN CONNECTION WITH THE USE OF QUANTPILOT, THAT PARTY SHALL NOTIFY THE OTHER PARTY IN WRITING WITHIN THREE (3) BUSINESS DAYS OF RECEIPT OF SUCH CLAIM.

16. GOVERNING LAW & DISPUTE RESOLUTION

These QuantPilot Terms and any contractual or non-contractual disputes arising out of or in connection with your use of QuantPilot will be governed by and in accordance with the Estonian law and settled in Harju County Court (Estonia).

17. PRIVACY AND PERSONAL INFORMATION

In order to make full use of QuantPilot, you will need to provide some information relating to you ("Personal Data"). You acknowledge that we will collect and use certain Personal Data as described in our Privacy Notice. For more information about our collection, use, disclosure and protection of your Personal Data, please read our Privacy Notice. 18. GENERAL

You may not assign or delegate any rights or obligations hereunder, including in connection with a change of control. Any purported assignment and delegation shall be ineffective. We may freely assign or delegate all rights and obligations under these QuantPilot Terms, fully or partially without notice to you.

To the extent permitted by applicable law, the parties hereby waive any provision of law that would render any clause of these QuantPilot Terms invalid or otherwise unenforceable in any respect. In the event that a provision of these Terms is held to be invalid or otherwise unenforceable, such provision will be interpreted to fulfil its intended purpose to the maximum extent permitted by applicable law, and the remaining provisions of these QuantPilot Terms will continue in full force and effect.

We reserve the right to update and change these QuantPilot Terms from time to time without notice, in case the change is advantageous for you, does not change the contractual relationship between us or is necessary for us to obey statutory requirements or authorities' decisions. Any material changes will be communicated and become effective via e-mail fourteen (14) days in advance. In case you do not agree with the changes, you have the right to terminate the use of QuantPilot within these fourteen (14) days.
